Terms of Service

Welcome to BenchOS. These Terms of Service (the “Terms”) govern your access to and use of the BenchOS website, applications, and services (collectively, the “Service”), operated by BenchOS (“BenchOS,” “we,” “us,” or “our”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

BenchOS is an AI-powered basketball coaching platform that helps head coaches and their staff plan practices, prepare for games, design player development, and operate their programs. The Service generates suggestions, drafts, and outputs using artificial intelligence (“AI Outputs”) based on the information you provide and the context of your program.

AI Outputs are tools to assist your coaching judgment, not a replacement for it. You are responsible for reviewing all AI Outputs before relying on them, sharing them with players or staff, or taking any action based on them.

2. Eligibility & Accounts

To create an account, you must either be at least 18 years old or have the consent of a parent or legal guardian. By signing up, you represent that you meet this requirement. If you are using the Service on behalf of a school, club, or other organization, you also represent that you have the authority to bind that organization to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at sam@benchos.coach if you suspect any unauthorized use.

3. Your Content

The Service lets you submit information about your program, including roster data, philosophy, schedules, scouting notes, and related materials (“Customer Content”). You retain ownership of all Customer Content. You grant BenchOS a worldwide, non-exclusive, royalty-free license to host, copy, transmit, and process Customer Content solely to operate, secure, and improve the Service for you.

You represent and warrant that you have all necessary rights to submit Customer Content and that doing so does not violate any law or any third party's rights. You are responsible for obtaining appropriate consents — including from minors' parents or guardians where required — before uploading personal information about players.

4. AI Outputs

AI Outputs are generated by large language models and may be inaccurate, incomplete, or unsuitable for a given situation. As between you and BenchOS, you may use AI Outputs for your coaching and program purposes, subject to these Terms. You are responsible for evaluating AI Outputs for accuracy, appropriateness, and compliance with applicable rules (including any rules of your league, association, or governing body) before use.

Because of the nature of generative AI, similar prompts may produce similar outputs for different users. We make no claim that AI Outputs are unique to you.

5. Acceptable Use

You agree not to:

  • use the Service to violate any law or any third party's rights;
  • upload content that is unlawful, defamatory, harassing, or that infringes intellectual property or privacy rights;
  • attempt to reverse engineer, scrape, probe, or interfere with the Service or its underlying infrastructure;
  • use the Service to build a competing product or to train another machine-learning model;
  • share your account credentials or resell access to the Service without our written permission.

6. Pilot, Beta & Early-Access Features

BenchOS may offer pilot, beta, or early-access features. These features are provided on an “as is” basis and may be changed, withdrawn, or made unavailable at any time without notice. Pricing for these features may differ from generally available pricing.

7. Fees

Some features of the Service may be paid. If you subscribe to a paid plan, you authorize us (or our payment processor) to charge the applicable fees to your payment method on the schedule presented at checkout. Fees are non-refundable except where required by law or as expressly stated by us.

8. Suspension & Termination

You may stop using the Service and delete your account at any time by contacting us. We may suspend or terminate your access if you violate these Terms, if your use creates risk to BenchOS or other users, or if we are required to do so by law. On termination, your right to use the Service ends, and we will delete or return Customer Content as described in our Privacy Policy.

9. Intellectual Property

The Service, including its software, design, knowledge base, prompts, and branding, is owned by BenchOS and protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, BenchOS reserves all rights in the Service.

10. Disclaimers

THE SERVICE AND ALL AI OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. BENCHOS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUTS WILL BE ACCURATE OR APPROPRIATE FOR ANY PARTICULAR PURPOSE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BENCHOS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS.

12. Indemnification

You will defend, indemnify, and hold harmless BenchOS from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your Customer Content, your use of the Service, or your violation of these Terms.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Arizona, and you consent to personal jurisdiction there.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you (for example, by email or in-product notice) before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
